Corporate governance

Momentum Group endeavours to apply stringent standards and effective corporate governance processes in order to ensure that the business generates long-term value for the shareholders. The purpose of the company’s corporate governance structure is to establish a clear distribution of roles and responsibilities between the owners, Board of Directors, Board committees and executive management. The company’s corporate governance is based on external and internal control instruments, with the external instruments primarily comprising the Swedish Companies Act, regulations pursuant to the listing on Nasdaq Stockholm and generally acceptable practices on the stock market.

Momentum Group is a public limited liability company and is regulated by Swedish legislation, primarily through the Swedish Companies Act (2005:551). The company’s class B shares are admitted to trading on Nasdaq Stockholm and the company therfor applies the Nasdaq Stockholm’s Rule Book for Issuers and the Swedish Corporate Governance Code.

AGM 2025

Welcome to the AGM of Momentum Group

The Annual General Meeting of Momentum Group will be held on Wednesday 7 May 2025 at 4:00 p.m. at Helio, Grev Turegatan 30, Stockholm. Registration for the meeting will begin at 3:30 p.m. Shareholders may also exercise their voting rights at the Annual General Meeting by postal voting in accordance with the provisions of the Articles of Association.

Election Committee

Drafts proposals to the AGM regarding the composition of the Board of Directors.

General Meeting

The company’s highest decision-making body where shareholders exercise their voting rights.

Board of Directors

Ultimately responsible for the company’s organisation and administration. To ensure that all shareholders’ interests in Momentum Group are provided for.

Management

The CEO and other management are responsible for Momentum Group’s ongoing management.

Auditors

By order of the AGM, examines the financial statements and the administration of the Board and the CEO during the financial year.

Election Committee
